Terms of Use
These terms cover the Goshen Labs website and the applications we publish. They are written to be read, not to be impenetrable. If something here is unclear, ask us rather than guessing.
1. Who we are, and what this covers
Goshen Labs Ltd is a technology firm based in Tema, Greater Accra, Ghana [CONFIRM business registration number]. We refer to ourselves below as "we" or "us", and to you as "you".
These terms apply to:
- goshenlabs.tech and its subdomains
- Circle — our mobile application
- Circle Management Services — our web application
- ShiftSync — our mobile application
- Church Management — where used other than under a signed client agreement
By using any of them you accept these terms. If you do not accept them, do not use them.
2. Client work is governed by a separate agreement
Where we provide implementation, hosting, support or consultancy — including ERP work built on Odoo Community, and Church Management installations — that work is covered by a signed service agreement between us and the client.
Where these terms and a signed service agreement disagree, the signed agreement takes precedence. Nothing on this page reduces what we have committed to in writing to a client.
3. Software still in development
Circle, Circle Management Services, ShiftSync and Church Management are under active development. Some are offered for trial before general release. Pre-release software may contain defects, may change without notice, and may lose data.
Do not rely on pre-release software as your only record of anything that matters. Keep your existing books, registers or rosters until we have told you in writing that a system is ready to be relied upon.
4. Your account
- Give accurate information when you register, and keep it current.
- Your credentials are yours. Do not share them, and tell us promptly if you think someone else has them.
- You are responsible for activity under your account, unless it results from a failure on our side.
- You must be 18 or over to hold an account.
5. Acceptable use
Do not use our services to:
- break the law, or help anyone else do so;
- misrepresent who you are, or impersonate somebody else;
- upload material you have no right to share, or that infringes another person's rights;
- record false entries in a ledger, or upload evidence you know to be fabricated;
- attempt to reach data belonging to another user, group, church or company;
- probe, scan or test our systems' security without written permission;
- interfere with the service or place unreasonable load on it;
- harass, threaten or abuse other users.
We may suspend or close an account that breaches this section. Where we can do so safely, we will tell you why.
6. Your content and your data
What you put in stays yours. Ledger entries, member registers, schedules, photographs, documents and everything else you upload remain your property. We claim no ownership of them.
You grant us only the permission we need to run the service: to store your content, process it, back it up, and show it to the people you have shared it with. Nothing more. We do not use your content to advertise, and we do not sell it.
You can export your data, and if you stop using a service we will hand over what we hold rather than keeping it from you. [CONFIRM the export mechanism and any notice period.]
You are responsible for having the right to upload what you upload — particularly other people's personal information, photographs and financial records. If you are recording data about members of a church or staff of a business, you must have a lawful basis for doing so.

7. Availability
We work to keep our services running, but we do not promise they will be available without interruption. Maintenance, faults, and failures at our infrastructure providers will all cause downtime at some point.
Where a client has a signed service agreement, any availability commitment in that agreement applies instead of this section.
8. Fees
Our applications may be offered free of charge, on trial, or on a paid basis. Where fees apply they will be stated before you incur them. Consultancy, implementation, hosting and support fees are set out in the relevant signed agreement, not here. [CONFIRM refund policy, if any.]
9. Our software and brand
The applications, their source code, their design and the Goshen Labs name and marks belong to us. Using our services does not transfer any of that to you. Do not copy, resell or reverse-engineer our software except where the law gives you that right regardless.
Where we build on open-source software, that software remains under its own licence and nothing here restricts your rights under it.
10. Other people's services
Our applications rely on third-party providers — including Supabase, Google Firebase and LiveKit — and may link to sites we do not run. We are not responsible for their content, their terms or their availability.
Odoo is a trademark of Odoo S.A. Goshen Labs is independent of, and not affiliated with, Odoo S.A. Odoo Community is free, open-source software published by them under its own licence; we do not sell it, and you may obtain it yourself. What we sell is the implementation, hosting and support around it.
11. Liability
We provide our services in good faith and with reasonable skill and care. To the extent the law allows:
- we are not liable for indirect or consequential loss, including lost profit, lost business or lost goodwill;
- our total liability arising from your use of our free or pre-release services is limited to [CONFIRM amount];
- where you pay us, liability is governed by the signed agreement covering that work.
Nothing here excludes liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded.
12. Ending it
You may stop using our services at any time and ask us to close your account. We may suspend or close an account that breaches these terms, or withdraw a service entirely — in which case we will give reasonable notice and a means of exporting your data, unless the law prevents us.
13. Governing law
These terms are governed by the laws of the Republic of Ghana, and the courts of Ghana have jurisdiction over any dispute arising from them. [CONFIRM this is right for users outside Ghana — Circle is used by the diaspora, and consumer protection law in their country may apply regardless of what this section says.]
14. Changes
We may update these terms. The date above will change, and where a change materially affects you we will tell you inside the application or by email before it takes effect. Continuing to use the service after that means you accept the revised terms.
